1. Agreement to terms

By accessing or using Inferbase ("Service"), operated by Inferbase ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of service

Inferbase is an AI inference and model intelligence platform. The Service includes:

• An inference API for running AI models via third-party inference providers
• AI model catalog with structured metadata, benchmarks, and capabilities
• Model comparison and recommendation tools
• GPU capacity planning and infrastructure sizing tools
• API key management, usage tracking, and credit-based billing

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User accounts

3.1 Account creation

To access certain features, you may need to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your password and API keys
• Accept responsibility for all activities under your account, including API usage
• Notify us immediately of any unauthorized access

3.2 Account termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may also delete your account at any time through your account settings. Upon termination, any remaining credits are forfeited.

4. Inference API and content processing

4.1 How inference works

When you submit prompts through the inference API, your input is sent to a third-party inference provider for processing. We currently use third-party infrastructure providers to run AI models. The specific providers may change over time as we expand or optimize the service.

4.2 Your content

You retain ownership of any content you submit, including prompts, comparisons, and notes. By using the inference API, you acknowledge that:

• Your prompts are sent to third-party inference providers for model execution
• We log API requests (model used, token count, latency, cost) for billing and service operation
• We do not use your prompts to train AI models
• We do not sell or share prompt content with third parties beyond the inference provider processing your request

4.3 AI output disclaimer

AI model outputs are generated by third-party models and may be inaccurate, incomplete, or inappropriate. We do not guarantee the quality, accuracy, or safety of any model output. You are responsible for evaluating and using outputs appropriately.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Scrape, data mine, or extract data using automated means without permission
• Use the inference API to generate content that is illegal, harmful, abusive, or violates third-party rights
• Attempt to bypass safety filters or extract model weights through the API
• Share API keys with unauthorized parties or use them in a way that violates these Terms
• Impersonate any person or entity
• Use the Service to compete directly with Inferbase

6. Intellectual property

6.1 Our content

The Service and its original content (excluding data sourced from third parties), features, and functionality are owned by Inferbase and are protected by copyright, trademark, and other intellectual property laws.

6.2 Third-party data

AI model specifications, benchmarks, and related data are sourced from third-party providers and public sources. We make reasonable efforts to ensure accuracy but do not claim ownership of this data.

6.3 Your content

You retain ownership of any content you submit. By submitting content, you grant us a non-exclusive, worldwide license to use, display, and store such content for providing the Service.

7. Credits and billing

7.1 Credit system

Inference API usage is billed through a credit system. Credits are consumed based on the number of tokens processed, with rates varying by model. During beta, accounts receive free credits. Credit balances and usage are visible in your account dashboard.

7.2 Payment terms

• All fees are denominated in USD unless otherwise stated
• Purchased credits are non-refundable unless otherwise specified
• We may change pricing with 30 days' notice
• You are responsible for all applicable taxes
• If your credit balance reaches zero, inference requests will be declined until credits are added

7.3 Beta period

During the beta period, all features including inference are available at no cost. Beta credits may have expiration dates. We reserve the right to end the beta period with reasonable notice.

8. API usage

• API usage is subject to rate limits to ensure platform stability
• API keys are confidential and must not be shared publicly
• We may modify rate limits or API functionality at any time
• Excessive or abusive API usage may result in throttling or suspension
• We log API requests for billing, debugging, and abuse prevention

9. Data accuracy disclaimer

While we strive to provide accurate and up-to-date information:

• AI model specifications and capabilities change frequently
• Data is sourced from third parties and may contain errors
• Benchmark scores are aggregated from various public sources
• GPU capacity estimates are physics-based approximations, not guarantees
• We do not guarantee the accuracy, completeness, or timeliness of any information

Always verify critical information directly with the relevant provider before making production decisions.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES ARISING FROM AI MODEL OUTPUTS
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER

11. Indemnification

You agree to indemnify and hold harmless Inferbase, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the Service, including inference API outputs
• Your violation of these Terms
• Your violation of any third-party rights
• Content you generate or distribute using the inference API

12. Third-party services

The Service relies on third-party infrastructure providers for inference processing, hosting, and other functions. We are not responsible for the availability, performance, or policies of these providers. Our use of third-party providers may change over time.

13. Modifications to terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

15. Dispute resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be resolved through binding arbitration or in the courts of Bengaluru, Karnataka, India.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Inferbase regarding the Service and supersede all prior agreements.
